These Terms of Service (“Terms”) govern your access to and use of the websites, portals, courses, and services (the “Services”) offered by Preferred Systems, Inc. (“Preferred Systems,” “PSI,” “we,” “us,” or “our”). By using the Services, you agree to these Terms. If you don’t agree, don’t use the Services.
1. About the Services
PSI is a national continuing education (“CE”) and pre-licensing provider. Our core offering is the CE Instructor Program: we hold state-board CE-provider status, we develop and maintain approved courses, we operate the online registration and certificate-delivery platform, and we handle state filings — so licensed professionals can teach CE in their industry.
2. Eligibility
You must be at least 18 years old and legally able to enter into contracts to use the Services. If you register as an instructor, you represent that you are (or will be, upon approval) a licensed practicing professional in the vertical(s) and state(s) you intend to teach. If you register as an attendee for a course, you represent that you are a licensed or otherwise credentialed member of the audience the course is written for.
3. Accounts
You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at info@preferrededucation.com if you suspect unauthorized access.
4. Fees and payment
Subscription fees, setup fees, and any per-state or per-instructor add-ons are described in your subscription agreement or ordering document. Unless stated otherwise, fees are due in advance, are non-refundable, and will renew automatically for successive terms until cancelled.
5. Cancellation and refunds
Monthly subscriptions may be cancelled with 30 days’ notice; you remain responsible for fees accrued through the end of that notice period. Annual subscriptions run for their full term. Setup fees, add-on state fees, and per-instructor fees are non-refundable. We’ll of course consider hardship exceptions on a case-by-case basis — just talk to us.
6. Intellectual property
The courses, curricula, instructor guides, marketing templates, platform software, and related materials PSI provides are our intellectual property or that of our licensors. As a subscribing client, you receive a limited, non-exclusive, non-transferable license to use those materials solely to deliver the CE courses under your PSI subscription and only for the term of your subscription. You may not:
- Redistribute, resell, or sublicense our course content or platform;
- Publish or share course materials outside the classroom setting they are licensed for;
- Remove or obscure copyright, trademark, or other proprietary notices;
- Use the PSI name, logo, or marks outside their intended use without our permission.
The trademark Preferred Systems® and related marks are the property of Preferred Systems, Inc.
7. Instructor obligations
If you enroll as a CE instructor under a PSI subscription, you agree to:
- Maintain your professional license in good standing in the state(s) you teach and notify us promptly of any suspension, revocation, or complaint;
- Teach only PSI-approved courses in the classroom, using the approved curriculum;
- Comply with state-board rules on scheduling, attendance verification, evaluations, and reporting;
- Not condition a Real Estate Agent’s attendance on any referral, listing, or business action;
- Comply with all applicable laws, including RESPA (Regulation X) for lending, title, and insurance verticals — do not use PSI courses to defray the cost of an agent’s licensure or to structure a de facto referral fee.
PSI courses are written to be RESPA-safe. Structuring a class in a way that violates applicable law is your responsibility, not ours.
8. Prohibited uses
You may not:
- Use the Services to break any law or third-party right;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services;
- Introduce malware, spam, or other harmful content, or attempt to reverse-engineer or decompile the platform;
- Impersonate anyone or misrepresent your affiliation with PSI or any other entity; or
- Scrape, harvest, or collect information from the Services other than as we allow.
9. Disclaimers
The Services are provided on an “as-is” and “as-available” basis. To the maximum extent permitted by law, PSI disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. PSI does not guarantee any particular business outcome from teaching CE.
10. Limitation of liability
To the maximum extent permitted by law, PSI and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim arising out of or related to these Terms will not exceed the fees you paid PSI in the twelve months preceding the event giving rise to the claim.
Some jurisdictions do not allow these limitations, so they may not apply to you.
11. Indemnification
You agree to defend, indemnify, and hold harmless PSI and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your breach of these Terms, or your violation of any law or third-party right.
12. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Erie County, Pennsylvania, and you consent to the personal jurisdiction of those courts.
State-specific supplemental terms may apply to residents of certain states. We’ll add those as they are finalized; nothing in this section is meant to displace protections state law provides you that cannot be waived.
13. Changes to these Terms
We may update these Terms from time to time. When we do, we’ll change the “last updated” date at the top and, if the changes are material, we’ll take reasonable steps to notify you. Continued use of the Services after an update constitutes acceptance of the revised Terms.
